Terms of Service

Draft. This document is a working draft; it must be reviewed by counsel before public launch. The pre-claim provision in §4 of the Terms and the data-handling sections of the Privacy Policy especially warrant legal review.

These Terms of Service ("Terms") govern your access to and use of the Talven Chat service (the "Service") operated by Talven Tech, Inc. ("we", "us", or "Talven Tech"). By creating preview content for your business, claiming a chatbot, or subscribing to a paid plan, you agree to be bound by these Terms.

1. The Service

Talven Tech provides AI-powered chatbots trained on the publicly available content of a business's own website. Each chatbot is presented on a landing page at /b/{business-slug}, embeddable via a JavaScript widget, and reachable through a per-business chat URL. The chatbot answers questions about the business using a retrieval-augmented language model.

2. AI Disclaimer

Chatbot responses are generated by an artificial-intelligence language model and may contain inaccuracies, omissions, or out-of-date information. You are responsible for reviewing your chatbot's responses and for the accuracy of the underlying website content. Customers should not rely on the chatbot for medical, legal, financial, safety-critical, or otherwise professional advice.

3. Content Ownership and License

You retain all ownership rights in your business name, logo, website content, menus, services descriptions, customer reviews, and any other materials you provide or that the Service ingests on your behalf ("Customer Content"). You grant Talven Tech a worldwide, non-exclusive, royalty-free license to: (a) crawl your publicly accessible website; (b) extract, index, embed, and store the resulting content in our retrieval system; and (c) display the resulting chatbot on the Service. This license terminates as described in §5.

4. Pre-Claim Preview Provision

Talven Tech may create a preview chatbot for your business using publicly available information (Google Business Profile, your published website, public reviews) before you have claimed it or subscribed to a paid plan. We do this to demonstrate the Service to the business owner.

Each preview is clearly labeled as such on the landing page ("Preview — this chatbot was built for [Business Name]").
You may request immediate removal at any time by emailing [email protected]; we will deactivate the chatbot and delete all associated data within seven (7) days.
Preview chatbots are time-limited (currently 14 days) and will be deactivated automatically if the business is not claimed within that window.
Previews are intended as a sales demonstration; they are not affiliated with the business until the business owner claims them.

5. Cancellation and Data Retention

You may cancel your subscription at any time through your dashboard or by contacting support. On cancellation:

Your chatbot remains accessible until the end of the paid period.
After the paid period ends, the chatbot is deactivated immediately.
Customer Content and conversation logs are retained for thirty (30) days, after which they are permanently deleted from our active systems. Backup copies may persist for an additional period not exceeding thirty (30) days.

6. Subscription Terms

Auto-renewal: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
Cancel anytime: Cancellation takes effect at the end of the current paid period.
No partial refunds: We do not pro-rate refunds for unused portions of a billing period.
Pricing changes: We will give at least 30 days' notice of any price increase applicable to your subscription.

7. Acceptable Use

You agree not to use the Service to:

Distribute illegal, defamatory, harassing, or otherwise unlawful content.
Impersonate a business you do not own or are not authorized to represent.
Collect sensitive personal data (financial account numbers, government IDs, health records, precise geolocation, etc.) from end users without prominent, lawful disclosure.
Reverse-engineer, scrape, or attempt to extract the underlying language model.
Use the Service to send spam or unsolicited bulk messages.

We may suspend or terminate access for violations of this section.

8. Limitation of Liability

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by applicable law, Talven Tech's total aggregate liability arising out of or relating to these Terms or the Service is limited to the fees you paid us in the twelve (12) months immediately preceding the event giving rise to the claim. Talven Tech will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

9. Changes to These Terms

We may update these Terms from time to time. Material changes will be announced by email to the address on file at least thirty (30) days before they take effect, except where a shorter notice period is required by law.
